Marvell to Acquire Lumentum in a $115 Billion All-Stock Deal: 4.5 Shares per Lumentum Share at a 23.9% Premium, the “Electrical + Optical” Combination Targets the $550 Billion AI Interconnect Market

2026-11-03 Industry Insights

On November 2 local time, US semiconductor company Marvell Technology and optical communications giant Lumentum announced a definitive merger agreement: Marvell will acquire Lumentum in an all-stock transaction, with each Lumentum common share exchanged for 4.5 Marvell shares—equivalent to roughly $1,132 per share and a premium of about 23.9% over the two companies’ closing prices on October 28, before deal rumors emerged. The implied enterprise value for Lumentum is approximately $115 billion. Upon completion, Marvell’s existing shareholders will hold about 67% of the combined company and Lumentum shareholders about 33%; the transaction is expected to close in the first half of 2028, subject to approval by both companies’ shareholders and regulators.

Technological complementarity is the core logic of the deal. Marvell brings electrical and optical interconnects, network switching, custom XPUs and advanced semiconductor technology, while Lumentum brings high-performance lasers, optical transceivers, optical circuit switching (OCS) and compound-semiconductor manufacturing. The combined company will span CMOS, silicon photonics, compound semiconductors, advanced packaging and manufacturing, offering optical interconnect solutions from distributed data centers to the inside of advanced semiconductor packages. Marvell expects the combined addressable AI connectivity market to reach $550 billion—as AI clusters scale from single cards to rack-level and cluster-level expansion, copper interconnects are approaching physical limits in speed and power, and deep co-design between electrical chipmakers and optical device makers is becoming the mainstream path for next-generation AI infrastructure connectivity.

Seen from the industry landscape, this is the heaviest “electrical + optical” merger on the AI infrastructure chain to date, and the main battleground of optical interconnect competition has shifted from the module level to the chip-packaging level. NVIDIA has already demonstrated its next-generation CPO (co-packaged optics) technology Optics-on-Interposer, moving light engines from the package substrate onto the silicon interposer and cutting electrical loss from 22dB to 4dB; Broadcom and TSMC continue to press into silicon photonics and advanced packaging. The Marvell-Lumentum combination means upstream lasers and compound-semiconductor manufacturing are being integrated with downstream electrical switching and custom XPU design in one company—end-to-end co-design capability becomes the competitive threshold. For the remaining players in optical modules and devices, the survival space of independent single-link suppliers will keep being squeezed, and industry consolidation is expected to accelerate. Capital markets remain divided on near-term synergies—both stocks fell in intraday trading on the announcement day—but the long-term strategic positioning is unmistakable.

For Junyi Microelectronics, the AI optical-interconnect trend also projects onto the edge and industrial side: the data-center “replace copper with light” route is driving cost reductions and improved supply for industrial fiber rings, industrial PON and long-distance high-speed links; the 5G-EDGE-3399Pro and AI-BOX-3588 edge computing hosts can adopt fiber uplinks in campus-level data backhaul to improve bandwidth and interference immunity; in the expansion design of K-series edge AI boards and the J-3568/J-3576/J-3588 core boards, optical (SFP) ports suit electromagnetically harsh industrial environments; and the IPC-i5-1235U industrial mini PC and touch-panel all-in-ones also benefit from scaled price declines of optical interconnect devices in line-side data aggregation. Accelerated consolidation among giants is pushing optical components toward affordability, with edge and industrial scenarios becoming incremental beneficiaries.
